Contents

1. Parties and Scope

1.1 These General Terms of Service (the "Terms") govern the service relationship between Ege Bilgi Teknolojileri ("Tuedion") and any natural or legal person receiving services from Tuedion (the "Customer").

1.2 The Terms apply to website and software development, design, digital marketing, social media management, domain names, hosting, servers, SSL certificates, business e-mail, website performance optimisation, maintenance, software products provided by subscription (SaaS) or under licence, and all other services Tuedion provides.

1.3 The scope, term and fee of each service are set out in the offer the Customer accepts or the order the Customer places. If an offer or order conflicts with these Terms, the specific provision of the offer or order prevails.

1.4 By accepting an offer or placing an order, the Customer confirms that it has read and accepts these Terms. The accepted version is stored with the relevant offer or order record.

2. Definitions

2.1 Customer Panel: the online panel in which the Customer manages its services, offers, orders, payments, documents and support requests.

2.2 Account: the account opened in the Customer Panel on behalf of the Customer, together with the people the Customer authorises on it.

2.3 Offer: a document Tuedion provides to the Customer that sets out the scope, schedule, fee and specific conditions of a service.

2.4 Order: a renewal or service request the Customer places through the Customer Panel.

2.5 Deliverables: designs, software, content, reports and similar outputs delivered to the Customer under a project service.

3. Formation of the Agreement

3.1 Offers remain valid until the validity date stated on them.

3.2 An offer is accepted electronically in the Customer Panel or through a link sent by Tuedion, using a one-time verification code. The parties agree that electronic acceptance is sufficient to form the agreement.

3.3 Renewal and additional service orders are placed through the Customer Panel. An order is formed when the Customer confirms the order summary and these Terms.

4. Fees, Taxes and Payment

4.1 Fees are shown in the offer, the order or the Customer Panel. The same place states whether taxes are included in the price.

4.2 Payments are made in Turkish lira by bank transfer to the bank accounts shown in the order, with the order code in the payment reference. If Tuedion offers other payment methods, they are shown in the Customer Panel.

4.3 Prices set in a foreign currency (EUR, USD, GBP) are converted into Turkish lira at the exchange rate applicable when the order is placed, and that rate is fixed in the order. For offers prepared in a foreign currency, the rate at the time the offer is sent is fixed in the offer. The rates used are indicative market rates.

4.4 Payment is due by the due date stated in the order. An order not paid on time may be cancelled, in which case the related service is not renewed.

4.5 The invoice is issued after payment is received, in accordance with applicable tax legislation, and is shared in the Customer Panel. Any document shown before payment is a pro forma.

4.6 If any amount is overdue, Tuedion may suspend the related service after notifying the Customer.

5. Term, Renewal and Expiry

5.1 Fixed-term services such as domain names, hosting, servers, SSL certificates, business e-mail, social media management, maintenance and software product subscriptions do not renew automatically. To continue a service, the Customer must place a renewal order and make the payment.

5.2 Before the end of a term, Tuedion sends reminders through the Customer Panel and by e-mail, and where appropriate by SMS or WhatsApp. A reminder that does not reach the Customer does not remove the Customer's responsibility to renew.

5.3 A service term is extended once the payment is confirmed and the renewal is applied.

5.4 Data, e-mail and files belonging to an expired service may be deleted. Recovering an expired domain name depends on the rules and additional fees of the relevant registry and may not always be possible. Tuedion is not liable for losses arising from a service that is not renewed on time.

5.5 Project services such as websites, software, design and performance optimisation end when the deliverables stated in the offer are completed.

6. Project Services, Delivery and Acceptance

6.1 The project schedule is stated in the offer. If the Customer provides content, approvals or access details late, the schedule is extended by the length of the delay.

6.2 Requests outside the scope of the offer are priced separately as additional work.

6.3 Tuedion notifies the Customer of a delivery through the Customer Panel or by e-mail. If the Customer does not raise a specific written objection within 10 business days of delivery, the delivery is deemed accepted. If the offer states a different acceptance process, that process applies.

6.4 If the offer states a support or warranty period, defects arising from a non-conformity of the deliverables with the offer are corrected free of charge within that period.

7. Hosting, E-mail and Server Services

7.1 Package limits (disk space, number of mailboxes, mailbox quota and similar) are stated in the offer or the Customer Panel. Needs beyond these limits require a package upgrade.

7.2 The Customer uses the service lawfully. The following uses are prohibited: sending unsolicited bulk e-mail (spam), hosting or distributing malware, phishing, infringing intellectual property rights, publishing unlawful content, attempting unauthorised access to other systems, and using server resources abnormally to an extent that affects other users.

7.3 In the event of a breach of these rules or an urgent situation that threatens system security, Tuedion may suspend the service temporarily without prior notice and informs the Customer as soon as possible.

7.4 Planned maintenance is announced in advance, where possible, in the Announcements section of the Customer Panel and, where necessary, by e-mail. Urgent security interventions may be carried out without prior notice.

7.5 Unless the offer contains a written service level commitment, Tuedion does not guarantee uninterrupted availability. Tuedion takes reasonable care to resolve interruptions as quickly as possible.

8. Backups

8.1 Backups taken by Tuedion are an additional safety measure. Unless backups are expressly committed in the offer or in a maintenance service, the Customer is responsible for keeping up-to-date copies of its own data.

9. Third-Party Services

9.1 Domain registries (ICANN, TRABİS and others), software and plugin providers, social media platforms, and cloud, payment and communication services are subject to their own terms. Changes to their prices, rules and services, and their interruptions, are outside Tuedion's control.

9.2 Price increases by third-party providers may be reflected in the next renewal term of the related service.

10. Customer Obligations

10.1 The Customer is responsible for keeping its billing and contact details accurate and up to date.

10.2 The Customer is responsible for the permissions of the people it adds to its Account and for their actions. One-time codes and passkeys are personal and must not be shared. The Customer notifies Tuedion immediately of any suspected unauthorised access.

10.3 The Customer warrants that it holds the necessary rights to the text, images, logos, data and other content it provides to Tuedion. The Customer is responsible for third-party claims arising from such content and indemnifies Tuedion against any resulting loss.

10.4 The Customer shares the access details a service requires (hosting panel, social media accounts and similar) through a secure channel.

11. Intellectual Property

11.1 Unless the offer states otherwise, and excluding the Software Products under clause 11.5, the rights of adaptation, reproduction, distribution, performance and communication to the public in the designs, texts and software produced specifically for the Customer are transferred to the Customer for use in line with the purpose of the work once the fee has been paid in full. Until full payment, these rights remain with Tuedion. At the Customer's request, the parties confirm the transfer in a separately signed written document.

11.2 Software components, libraries, templates, tools and know-how that Tuedion owned before the work or uses generally remain the property of Tuedion. To the extent they form part of the deliverables, the Customer receives a perpetual, non-exclusive right to use them.

11.3 Open-source components are subject to their own licences, and licensed products such as fonts, stock images and plugins are subject to their providers' licence terms.

11.4 Unless the Customer objects in writing, Tuedion may show the name, logo and visuals of completed work in its references and portfolio. Confidential information is never disclosed.

11.5 All intellectual property rights, and all economic and moral rights under Turkish Law No. 5846 on Intellectual and Artistic Works, in the software products Tuedion provides by subscription (SaaS) or under a monthly or yearly licence (the "Software Products") belong to Tuedion. No rights in the Software Products are transferred.

11.6 For the paid subscription or licence term, the Customer receives a permission to use the Software Product for its own business purposes. This permission is simple (non-exclusive), non-transferable and non-sublicensable. The term, number of users and scope are stated in the offer, the order or the Customer Panel. When the term ends and is not renewed, the permission ends automatically.

11.7 The Customer may not copy, modify, decompile, rent, sell or make available to third parties the Software Products, or use them to develop a similar product. The user rights that Article 38 of Law No. 5846 grants and that cannot be excluded by contract are reserved.

11.8 For SaaS products, the source code and server setup are not delivered to the Customer. The data the Customer enters into the product belongs to the Customer. If the Customer requests it within 30 days of the end of the service, Tuedion exports this data in a common file format. After that period, the data may be deleted.

11.9 Features added to a Software Product at the Customer's request or suggestion become part of the product and belong to Tuedion, unless the offer agrees otherwise in writing.

12. Confidentiality

12.1 The parties keep confidential any commercial, technical and personal information they learn during the service that is clearly confidential, and share it only with authorised persons to the extent the service requires. Legal obligations are reserved. This obligation continues after the service relationship ends.

13. Personal Data Protection

13.1 Tuedion processes the personal data of the Customer and of the people acting on the Customer's behalf in accordance with its Privacy Notice and Privacy Policy.

13.2 For hosting, e-mail and website services, the Customer is the data controller and Tuedion is the data processor with respect to the personal data of the Customer's own visitors and customers. Tuedion processes such data only to provide the service and on the Customer's instructions, and takes the necessary technical and organisational measures.

13.3 The Customer is responsible for providing the privacy notices, explicit consents and cookie consents its own website and services require.

14. Limitation of Liability

14.1 Tuedion is not liable for indirect damages, loss of profit or reputation, loss of data where no backup commitment exists, or interruptions of third-party services.

14.2 Tuedion's total liability in connection with a service is limited to the fees the Customer paid for that service in the 12 months before the damage occurred.

14.3 These limitations do not apply in cases of intent or gross negligence, or where the law does not permit a limitation of liability.

15. Force Majeure

15.1 Events beyond the parties' control, such as natural disasters, epidemics, war, terrorism, strikes, fire, widespread power or internet outages, cyberattacks, changes in legislation and decisions of public authorities, are force majeure events. The affected obligations are suspended for the duration of the force majeure.

15.2 If a force majeure event lasts longer than 60 days, either party may terminate the affected service.

16. Termination

16.1 If a party breaches a material obligation and does not remedy the breach within 15 days of written notice, the other party may terminate the affected service.

16.2 On termination, the fees for services provided up to the termination date and for terms already started are payable. Subject to statutory rights, fees paid for terms already started are not refunded.

16.3 When the service relationship ends and no fees are outstanding, Tuedion provides reasonable support, at the Customer's request, for the transfer of the Customer's data and domain names.

17. Consumer Customers

17.1 Where the Customer is a consumer, the rights arising from Turkish Consumer Protection Law No. 6502 and the Distance Contracts Regulation are reserved. Provisions of these Terms that are to the detriment of consumers do not apply to consumers.

17.2 The right of withdrawal is exercised within the period and subject to the exceptions set out in the Distance Contracts Regulation. The right of withdrawal does not apply to services performed instantly in electronic form, or to services whose performance has begun, with the consumer's approval, before the withdrawal period ends.

17.3 Consumers may apply to the Consumer Arbitration Committees within the statutory monetary limits, and to the Consumer Courts above those limits.

17.4 For subscription contracts with consumers, the termination and refund rights under Article 52 of Law No. 6502 are reserved. Clause 16.2 does not limit these rights.

18. Notices and Electronic Records

18.1 Notices may be given through the Customer Panel, to the Customer's registered e-mail address, or by SMS or WhatsApp. The Customer is responsible for keeping its contact details up to date.

18.2 Customer Panel, e-mail and system records may be used as evidence in disputes. For merchant customers, these records constitute conclusive evidence under Article 193 of the Turkish Code of Civil Procedure No. 6100.

19. Changes

19.1 Tuedion may update these Terms. Each version is numbered and published. A new version applies to offers, orders and renewals made after its publication date. Offers and orders accepted earlier remain subject to the version accepted.

19.2 Material changes are announced in the Customer Panel or by e-mail.

20. Governing Law and Jurisdiction

20.1 These Terms are governed by the laws of the Republic of Türkiye.

20.2 The Courts and Enforcement Offices of Antalya have jurisdiction over disputes arising from these Terms. Clause 17.3 is reserved for consumers.

20.3 The English text of these Terms is provided for information. In the event of any conflict between the two texts, the Turkish text prevails.

21. Miscellaneous

21.1 If any provision of these Terms is held invalid, the validity of the remaining provisions is not affected.

21.2 The Customer may not assign its rights and obligations under these Terms to third parties without Tuedion's written consent.

21.3 Failure to exercise a right does not constitute a waiver of that right.

21.4 The accepted offer or order, together with these Terms, constitutes the entire agreement between the parties.
